1. Agreement to Terms

By accessing or using ClipWise ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

ClipWise is a content repurposing service that:

• Accepts podcast episodes, YouTube videos, webinars, and similar long-form content
• Uses AI technology to identify engaging moments
• Generates short-form video clips optimized for social media platforms
• Delivers clips with captions to your connected scheduling tools

3. Eligibility

You must be at least 18 years old to use ClipWise. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

4. Your Content

Ownership

You retain all ownership rights to the content you submit ("Your Content"). By submitting content, you grant ClipWise a limited, non-exclusive license to process, modify, and create derivative works (clips) from Your Content solely for the purpose of providing the Service.

Your Representations

By submitting content, you represent and warrant that:

• You own the content or have all necessary rights, licenses, and permissions to submit it
• The content does not infringe any third-party intellectual property rights
• The content does not violate any applicable laws or regulations
• The content does not contain defamatory, obscene, or otherwise objectionable material
• You have obtained consent from any individuals appearing in or speaking in the content

Prohibited Content

You may not submit content that:

• Infringes copyrights, trademarks, or other intellectual property rights
• Contains hate speech, harassment, or promotes violence
• Contains sexually explicit material
• Promotes illegal activities
• Contains malware or harmful code
• Impersonates others or misrepresents your identity

5. Generated Clips & AI Content

Clips generated by ClipWise are derivative works of Your Content. You own all rights to the generated clips subject to:

• Your underlying ownership of the original content
• Any third-party rights in the original content
• Payment of applicable fees

We do not claim ownership of the clips we generate for you.

AI-Generated Content Disclaimer

ClipWise uses artificial intelligence to analyze your content and generate clips. You acknowledge and agree that:

• AI-generated clips may occasionally contain errors, miss context, or not perfectly represent your content
• The AI may select moments that you find less suitable; we recommend reviewing all clips before posting
• Generated captions and metadata are AI-produced and should be verified for accuracy
• We continuously improve our AI systems, but cannot guarantee specific results
• You are responsible for reviewing and approving all clips before public posting

6. Content Moderation

We reserve the right to delete, block access to, or refuse to process any User Content at any time and for any reason in our sole discretion, including if we:

• Receive notices or complaints regarding the content
• Believe the content violates these Terms
• Believe the content may violate the rights of, or cause harm to, us or any third party
• Determine the content is otherwise objectionable

We are not obligated to monitor User Content but may do so at our discretion.

7. Payment Terms

• Pricing: Current pricing includes per-clip purchases ($1.99/clip) and credit subscriptions (Starter $9/mo, Creator $19/mo, Studio $39/mo). Annual plans receive 20% discount. Prices may change with notice.
• Payment: Payment is due at the time of order via Stripe.
• Refunds: We offer a 100% money-back guarantee if you are not satisfied with your clips. Contact us within 7 days of delivery to request a refund.
• Chargebacks: If you dispute a charge with your credit card company, we reserve the right to suspend your access to the Service.

8. Delivery

• We aim to deliver clips within 24 hours of receiving your order
• Delivery times may vary based on content length and queue volume
• Clips are delivered via email with download links and/or pushed to your connected scheduler (Buffer, Later)
• Download links expire 7 days after delivery
• We are not responsible for delays caused by incorrect URLs, inaccessible content, or technical issues with third-party platforms

9. Service Limitations

The Service may have limitations including:

• Content must be in English (other languages not currently supported)
• Episode length typically between 10 minutes and 3 hours
• Content must be publicly accessible or directly uploadable
• Number of clips generated varies based on content quality (no guaranteed count)
• Output format is vertical video (9:16) with burned-in captions

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Accuracy or reliability of AI-generated content
• Uninterrupted or error-free service
• That clips will achieve any particular results or engagement

AI-generated clips may occasionally contain errors, miss context, or not perfectly represent your content. We recommend reviewing clips before posting.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPWISE SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunities
• Any damages arising from your use or inability to use the Service
• Any third-party claims arising from your use of generated clips

Our total liability shall not exceed the amount you paid for the specific order giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless ClipWise, its owners, employees, affiliates, and service providers from any claims, damages, losses, liabilities, or expenses (including reasonable legal fees) arising from:

• Your access to or use of the Service
• Your Content or any claims of intellectual property infringement
• Your violation of these Terms
• Your violation or infringement of any rights of another (including intellectual property rights or privacy rights)
• Your conduct in connection with the Service
• Your use of any generated clips or content
• Any claims by third parties appearing in or speaking in Your Content
• Any breach of your representations or warranties in these Terms

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, including if you:

• Violate these Terms
• Submit prohibited content
• Engage in fraudulent activity
• Abuse the refund policy

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in St. Johns County, Florida.

15. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and ClipWise regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
